Since April 2023, I have been working as a Lawyer in the Legal Department of Dunas Capital Group, providing legal services to all companies within the group, including: Dunas Capital AM S.G.I.I.C., Dunas Capital Alternatives S.G.I.I.C., S.A., Dunas Capital Pensiones S.G.F.P., Dunas Capital Real Assets, Dunas Capital Real Estate, among others.

I perform all duties related to the legal function, with particular responsibility for matters concerning the Corporate Secretariat of the various group companies, as well as the vehicles managed by the different management entities, both liquid (investment funds and pension funds) and alternative (private equity funds and venture capital companies).

Continuous interaction with the CNMV (Spanish Securities Market Commission) regarding regulatory filings and procedures, including prospectuses for investment funds and private equity/venture capital vehicles.

Preparation and management of Board of Directors and Shareholders’ Meetings, including drafting notices, agendas, minutes, and coordinating their execution. Liaison with notaries and administrative agencies for the formalization and registration of corporate resolutions with the Mercantile Registry.

Organization and execution of Investment Committees and Supervisory Committees for private equity vehicles, including minute-taking.

Management and coordination with auditors of all legal documentation required for audits of more than 15 entities, both liquid and private equity vehicles.

Filing of annual accounts for more than 20 companies with the Mercantile Registry. Legalization of shareholders’ registers and corporate books.

Management and annual renewal of LEI codes and digital certificates for all group companies and subsidiaries.

Review of NDAs and contracts. Handling and responding to requests from the Spanish Tax Agency (AEAT) and Social Security (TGSS), including fund unit attachment procedures.

Coordination with insurance brokers for the renewal of professional liability (PI) and D&O insurance policies.

Provision of legal support to all departments across the group.

From December 2021 to April 2023, I worked as a Lawyer within the Legal Department (Corporate Secretariat), carrying out all legal functions, including:

• Review of contracts with service providers and financial product distributors
• Management and monitoring of legal proceedings
• Preparation of pre-contractual documentation for mortgage loans and secured credit transactions
• Legal support to different departments within the bank
• Daily collaboration with Compliance and Regulatory teams

Notably, I was directly involved in the acquisition and integration process of UBS’s private banking business in Spain and UBS Gestión S.G.I.I.C. into Singular Bank.

Since March 2018, performing all functions related to a court representation firm, including:

• Filing claims, submissions, and appeals via LexNET
• Daily attendance at court hearings (in-person and remote)
• Focus on banking litigation procedures
• Notifications to lawyers and in-person court procedures

After obtaining the official qualification as a Court Representative, I practiced independently from December 13, 2007.Después de haber obtenido el título oficial de Procuradora de los Tribunales, y desde el 13 de diciembre de 2007, siendo Colegiada en ejercicio número 1.865 del Ilustre Colegio de Procuradores de Madrid.

Senior role managing and overseeing investment funds and SICAV administration, including:

• Daily NAV calculation and stock exchange publication
• Bank reconciliations
• Financial reporting to CNMV
• Balance of payments reporting to Banco de España
• Quarterly reporting to stock exchange and CNMV
• Fund transfers via SNCE
• Relationship with custodians

• Administration of SICAVs, including NAV publication, CNMV reporting, reconciliations, and reporting to stock exchanges.

Settlement and control of market operations (proprietary and client), including:

• Instruction of international transactions
• Resolution of settlement issues

• Daily liquidity provision for international custodians
• Counterparty management

• 4-month internship supporting the implementation of a new internal accounting system (GRECO).
